What is a trade secret?
A trade secret is a type of intellectual property that is protected by law. It is information about a business or invention that a person or company has kept private and has taken steps to protect from being shared with others. In Kansas, trade secrets are protected under the Uniform Trade Secrets Act. This act prevents a person or company from disclosing a trade secret to others without permission from the owner. Trade secrets can be a variety of things, such as formulas, recipes, methods, processes, programs, designs, patterns, or compilations of information used in a business. In order for the information to be a trade secret, it must have an independent economic value from not being known to others and must be the subject of reasonable efforts to keep it secret. The Kansas Court of Appeals has stated that the holder of a trade secret must make reasonable efforts to keep the secret. This can include making sure the information is not stored in an insecure place or shared with others who do not need to know the information. The holder of a trade secret may also ask for a confidentiality agreement from those with whom the trade secret is shared. This can help protect the trade secret and provide legal remedies in the event of unauthorized disclosure.
