What is a distribution agreement?
A distribution agreement is a legal contract between two parties – usually a manufacturer or supplier of a product and an entity that is authorized to distribute it. The agreement sets out the terms and conditions under which the distributor will buy, store, and resell goods to its customers. In Mississippi, distribution agreements can be used to protect both the manufacturer and the distributor from financial liability, and to ensure fair and equitable terms of sale. The agreement typically defines the rights and obligations of both parties, including the parties’ responsibilities, the payment terms, warranties, and duration of the contract. It may also include provisions for exclusive distribution rights, meaning that the distributor is the only entity authorized to sell the product. Distributors may also be asked to meet certain standards and quality control measures in order to remain authorized for distribution. Distribution agreements are regulated by Art Law in Mississippi. Lawmakers are responsible for ensuring that distribution agreements clearly set out the terms of the agreement and protect all parties involved in commerce. Courts also have the authority to review and enforce distribution agreements, and to grant remedies in the event of a breach.
