What is a distribution agreement?

A distribution agreement is a type of contract in which one party (the supplier) agrees to provide goods or services to the other party (the distributor) as well as the rights to market and sell the goods or services to a designated geographic area. In the state of Nebraska, this type of agreement is generally regulated by the Nebraska Uniform Commercial Code and state statutes regulating certain commercial activities. In a distribution agreement, the supplier pays the distributor for the right to market and sell the goods or services in the specified geographic area. The supplier also agrees to provide certain benefits to the distributor, such as exclusive rights to the goods or services, warranties, technical support, sales training, advertising and promotional support, and other benefits that could help the distributor succeed. In return, the distributor agrees to use reasonable efforts to promote, market, and sell the goods or services. The distributor also agrees to maintain the quality and standards of the goods or services, as specified in the agreement. In most cases, the distributor is responsible for collecting payments from customers and remitting them to the supplier. In the event of a dispute, the parties can usually resolve the dispute through negotiation or arbitration rather than in court. Distribution agreements are important to both the supplier and distributor, since they set out the expectations and responsibilities of each party and create a legally binding relationship. A properly drafted distribution agreement can help protect both parties from unnecessary risks and ensure that the agreement is mutually beneficial.
