What is a distribution agreement?

A distribution agreement is a type of contract used in art law to control the sale or distribution of artwork by parties with a stake in the artwork. This type of agreement is commonly used by North Dakota art galleries and artists to regulate the terms of the sale and distribution of a particular work of art. In a distribution agreement, the artist or the gallery (or both) will lay out the terms of the sale and distribution of the artwork in detail. This includes defining the scope of the agreement (such as who may purchase or acquire the artwork); the price and terms of payment; and any restrictions on where or how artwork may be sold or displayed. It may also include an indemnity clause, which ensures that the artist and gallery are not held liable for any damages or losses that may arise from the sale or distribution of the artwork. It is important for artists and galleries to have a distribution agreement in place before any artwork is sold or distributed. This helps protect the rights and interests of both parties and ensures that the terms of the sale or distribution are clearly understood. It also ensures that the artwork is lawfully bought and sold, which is important for the future of North Dakota’s art law.
