What is a distribution agreement?

A distribution agreement is a legal contract between two parties, a distributor (or a third party seller) and the manufacturer. It is used when a manufacturer wants to sell their goods through other parties. The agreement states the rights and obligations of both parties in terms of the product distribution process. In Pennsylvania, distribution agreements are governed by the Uniform Commercial Code (UCC) which sets out rules for product distribution. A distribution agreement should generally include: a description of the goods or services that are to be distributed; the payment terms (how the distributor is paid, when and at what rate); the duration of the agreement; the geographical area of distribution; requirements for labeling; and any other terms and conditions. The agreement should also include detailed information about the responsibilities of both parties, including product delivery and payment. It should also clearly define any warranties or liabilities of either party. If a dispute arises between the parties, the agreement should have a dispute resolution procedure or refer to a specific court of law for resolution. Overall, a distribution agreement is important for manufacturers who want to have their products sold through other parties. It ensures that both parties are clear about their rights and obligations and helps to protect their interests should a dispute arise.
