In Texas, the filing requirements for a new business depend on what type of legal entity you plan on setting up. All business entities must obtain a Certificate of Formation or other document from the Texas Secretary of State and the governing authority in the county where the business is registered. A Sole Proprietorship requires filing Form 501 for notification of a business name to the Secretary of State. This is only needed if the business name is different than the legal name of the owner. A Limited Liability Company (LLC) requires filing Form 205 with the Texas Secretary of State, and Form 503 with the governing authority in the county where the LLC is registered.
