What is required to form a limited liability company?
In Colorado, forming a limited liability company (LLC) is a fairly straightforward and simple process. The procedures for forming a Colorado LLC are outlined in the Colorado Revised Statutes 7-90-101 through 7-90-119. The following steps are required to form a Colorado LLC: 1. Choose a name for your LLC that complies with Colorado law. The name cannot be the same as, or confusingly similar to, the name of any other business entity registered in Colorado. 2. Appoint a statutory agent, who must be an individual or business eligible to conduct business in Colorado. The statutory agent must have a street address in the state and must agree to accept legal papers on behalf of the LLC. 3. File Articles of Organization with the Colorado Secretary of State. These documents must include the LLC’s name, street address, and name and address of the statutory agent, as well as the names and addresses of the members of the LLC. 4. Prepare an Operating Agreement for the LLC. This document will outline the rights and responsibilities of each member and other key aspects of the LLC’s operations. 5. Obtain any necessary licenses or permits required by the state and local governments. 6. File a Statement of Authority with the Secretary of State if the LLC will be carrying out activities outside of Colorado. Once the above steps have been completed, your LLC will be officially formed and ready to do business in Colorado.
