How do I prepare articles of incorporation?

In order to prepare articles of incorporation in the state of New Jersey, you must first file an Application for Authority with the New Jersey Department of the Treasury. This application must include your desired corporate name, the object for which the company was formed, the name and address of each incorporator, and the number of shares the corporation is authorized to issue. Next, you must prepare and file the Certificate of Incorporation with the Department of the Treasury. This document must describe the name of the corporation, its registered office, the purpose for which it was formed, the number of shares it is authorized to issue, and the names and residences of its Directors. Finally, you must prepare articles of incorporation. This document must include the corporate name, the location of the principal office, the purpose of the corporation, the names and addresses of the incorporators, the total number of shares the corporation is authorized to issue, the manner in which the board of directors is elected, the name of the registered agent, and the name and address of the incorporator. Once these documents are prepared, you must pay the required filing fee and attach the documents to the Application for Authority. Once your application is reviewed and accepted, you will receive the Certificate of Incorporation. Your corporation will then be officially formed and you will be able to begin conducting business.
