How do I prepare articles of incorporation?

In Tennessee, there are several steps involved in preparing Articles of Incorporation. Before you begin the process, it is important to make sure that the name you choose for your business is not already in use by another business. If it is, you will need to choose a different name. Once you have chosen a name for your business, the next step is to choose a Registered Agent who will be responsible for giving notice of legal action to the company. To do this, you must complete the Certificate of Appointment of Registered Agent form and have it signed by the corporation’s owner(s). Next, you will need to file the Articles of Incorporation with the Tennessee Secretary of State. This form includes information about the Corporation’s name, location, purpose, and the names and addresses of the initial directors. This form must be signed by the corporation’s owners. The final step is to pay the filing fee and submit the Articles of Incorporation. Once all of this paperwork is completed and approved, you will receive a Certificate of Formation from the Secretary of State. This document serves as proof that the Articles of Incorporation were filed correctly and are now in effect. Following these steps should allow you to properly prepare and file Articles of Incorporation in the state of Tennessee.
