What is a board of directors?

A board of directors is a group of people within a corporation who are elected by the shareholders and are responsible for overseeing the management of the corporation. In New Jersey, the board of directors is authorized by the business formation law to make major decisions on behalf of the corporation including issues such as investments, mergers and acquisitions, changes in corporate structure, payment of dividends to shareholders, and the hiring and firing of executive officers. The board of directors has the power to issue shares of stock, set the company’s bylaws, and approve loans and other business activities. The board of directors is responsible for ensuring the corporation is following the laws and regulations of New Jersey and other states. It is also responsible for setting a code of conduct and ethical standards for the corporation. The board of directors is responsible for handling a wide range of activities from approving the company’s annual budget and setting compensation for executives to scrutinizing the company’s operations and performance. The board also assesses the risks that the company faces and provides oversight to the company’s internal control systems. The board of directors is the most important decision-making entity in a corporation as it is ultimately responsible for the success or failure of the business. It is important to ensure that your board of directors is comprised of individuals who possess the necessary experience, skills, and qualities to make informed decisions and lead the corporation in the right direction.
