What is corporate governance?
Corporate governance is a set of rules, practices, and processes used to direct and manage a corporation. It is a system of laws, policies, and procedures that govern how a corporation—or company—is managed and overseen. Corporate governance in Florida is regulated by the Florida Corporations Code. This code sets forth the roles and responsibilities of each entity involved in corporate governance in the state. This includes the board of directors, shareholders, company officers, and other stakeholders. The board of directors is responsible for setting corporate policies and making major decisions on behalf of the company. Shareholders are the owners of the company and have the right to vote on certain corporate matters. Officers are responsible for managing the day-to-day operations of the corporation. Other stakeholders, such as customers, creditors, and employees, may also have legal rights in corporate governance. In Florida, the aim of corporate governance is to ensure that companies are managed responsibly and meet their obligations. Effective corporate governance also helps the company protect its interests and differentiate itself from its competitors. The rules of corporate governance in the state are designed to help the company operate more efficiently, maximize shareholder value, and build long-term sustainability.
