What is a business contract?
A business contract is an agreement between two parties, usually businesses, that outlines the conditions of a specific agreement. In Florida, businesses must adhere to certain business formation laws in order to be legally valid. Business contracts are one way that businesses can ensure that they are following the appropriate laws and that all parties are abiding by the terms of the agreement. Business contracts typically include the following: names of the parties involved in the agreement; details of the obligations of each party; details of any payment or other type of compensation; details of any warranties provided; a termination clause, which sets out the conditions for the agreement to end; and a governing law clause, which states which law will govern the contract. Business contracts must be legally binding in order to be enforceable. The most important thing to remember is that business contracts must be clear and understood by both sides before they are signed. If there is ambiguity, or if any party is tricked or forced into signing the agreement, the business contract can be deemed invalid. It is also important to remember that such contracts are not transferable, so if one party wishes to assign the contract to another, they must receive permission from the other party first.
