How do I form a professional corporation?

Forming a professional corporation in the District of Columbia (DC) requires completion of several steps. First, you must choose and reserve a business name that is distinctive and does not conflict with other existing businesses. You can complete this step through the DC Department of Consumer and Regulatory Affairs. Once your business name is approved, you can then go ahead and file Articles of Incorporation with the DC Department of Consumer and Regulatory Affairs. You will need to include information including the business name, its purpose, number of shares of stock it is authorized to issue, and the period during which it will remain in business. You will also have to designate a registered agent in DC. This agent can be an individual or a business entity that has a physical address in the District and is authorized to receive legal documents on behalf of the professional corporation. Your corporation will also need to obtain any necessary business licenses or permits. Depending on the type of business, you may need to obtain special permits or licenses from the DC Department of Consumer and Regulatory Affairs or other agencies. Finally, you will have to establish corporate bylaws. These are the rules and regulations that govern the internal management of the professional corporation. You can create them or use a corporate bylaws template provided by the DC Department of Consumer and Regulatory Affairs. Once all of these steps are completed, your professional corporation will be established in the District of Columbia.
