For example, a transaction between two companies in different states in which the terms were laid out in a contract would typically include a forum selection clause that specifies the jurisdiction in which disputes should be heard. This can be either the state of the party that initiated the agreement, the state in which the agreement was signed, or a neutral state like Florida. Essentially, forum selection clauses attempt to predetermine the appropriate court in which any disputes will be heard. In Florida, business transactions must adhere to specific laws and regulations, including those governing forum selection. Because Florida has comprehensive laws addressing contracts and business transactions, parties must include a forum selection clause in their agreement which specifies the local court where legal disputes will be heard. This helps to minimize confusion surrounding jurisdiction and makes it easier for legal disputes to be handled in a timely manner.
