What is the process of de-registering a business in China?
De-registering a business in China involves several steps. Generally, companies in China must go through the China Business Ventures Law to deregister. First, the company must fill out the form called the Annulment of Company Registration Application. This form requires information such as the name of the company, business license number, and the reasons why it is being deregistered. After filling out the form, it must be submitted to the local Branch of State Administration of Industry and Commerce (SAIC). Next, the business must compile all necessary documents such as the Business Name Registration Certificate, the Articles of Association, the Deed of Dissolution and the Company Registration Letter. These documents are then submitted to the SAIC with the deregistration form along with a Fee Invoice. The SAIC reviews the documents and form and then reviews the business’s assets and any taxes owed. The authorities will then issue a Certificate of Deregistration if all the requirements are met. After the deregistration is approved, the business will no longer be registered with the SAIC.
