What is the legal process for registering a company in a special economic zone in China?
In order to register a company in a special economic zone in China, individuals must follow the process detailed in the China Business Ventures Law. After selecting an area, individuals must file an application form with the provincial or prefectural administrative department. This application form must include the purpose of the business venture, its proposed investment capital, and projected business income. Additional documents may be required; however, these vary by region. The provincial or prefectural administrative department must review and approve the application form, and then issue a business registration certificate. With this certificate, the company must establish a corporate organization at the local Bureau of Industry and Commerce. All interested parties must attend this establishment meeting and sign the Articles of Association. This must then be reported to the Bureau of Industry and Commerce, which will review the details before issuing the corporate seal and registering the company. Lastly, the company must obtain a business license. This license is issued by the State Ministry of Commerce or its local branch, and it contains information such as the company’s name, address, business scope, and registered capital. This business license is necessary for the company to begin operations. The registration process is subject to changes in the laws of the special economic zone, so individuals should ensure that they are aware of any updates and regulations.
