Are there any restrictions on the ownership of shares in Chinese companies?
Yes, there are restrictions on the ownership of shares in Chinese companies. Under the China Business Ventures Law in New Jersey, a foreign investor is prohibited from holding more than 25% of the total shares of a Chinese company. This is to protect the interests of the Chinese company and ensure that it remains in Chinese control. Another restriction requires any foreign investor that holds more than 5% of the total shares of a Chinese company to report ownership levels to the China Securities Regulatory Commission on a regular basis. In addition, Chinese investor-protection laws require that all capital contributions made by foreign investors in Chinese companies must pass a suitability test. This suitability test is conducted by the China Securities Regulatory Commission to ensure that the foreign investor has the financial resources and experience to protect the interests of the Chinese company. Finally, foreign investors are not allowed to purchase shares in certain industries that are considered strategic or too sensitive for foreign involvement. Industries that are excluded from foreign investment include the banking, telecommunications, and internet-related industries.
