What laws govern the issuance of securities?

In Georgia, the laws that govern the issuance of securities are largely found in the Georgia Corporate Code and Georgia Security Act. The Georgia Corporate Code regulates the formation of corporations, setting out the procedures for forming a corporation, and the types of activities that corporations may engage in. The Georgia Security Act governs the issuance of securities (stocks, bonds, and other financial instruments) by corporations and other organizations. Under the Georgia Security Act, corporations and other organizations must register their securities with the Georgia Department of Banking and Finance before offering them to the public. The Act also sets out rules for the disclosure of information to potential investors, provides for the registration of securities exchanges, and sets out the penalties for violating the provisions of the Act. Finally, the Federal Securities and Exchange Commission also regulates the issuance of securities in Georgia, setting out requirements for registering public offerings of securities with the Commission.
