What are the regulations governing the formation of companies?
In North Dakota, regulations surrounding the formation of companies are governed by the state’s Uniform Business Organizations Code. This code applies to corporations, limited liability companies (LLCs), partnerships, and other recognized business entities. Before a business entity can be formed, an organizer or organizers must prepare and file articles of organization or a certificate of formation with the Secretary of State. These documents must include the name and legal address of the business, the purpose of the entity, the name and address of the registered agent, the name and address of each organizer, and the duration of the entity, if applicable. Once the formation documents are filed with the Secretary of State, the entity is legally formed and can begin to conduct business. The formation documents must then be recorded with the county in which the entity’s registered office is located so that they may be accessed by the public. After formation, the business entity must also comply with certain state and federal regulations. This includes filing periodic reports, paying applicable taxes, and submitting any required documents to the Secretary of State, such as amendments to the articles of organization or merger documents. In North Dakota, businesses must also comply with the state’s business regulations regarding how the entity is operated and structured. For example, some entities are required to have directors, officers, members, managers, and/or shareholders, and must keep accurate minutes and financial records. Additionally, many businesses must obtain specific licenses or permits to operate in the state.
