What is a private placement?

A private placement is a type of capital raising event where securities (such as stocks or bonds) are sold to accredited investors. It is often done when a company wants to issue shares to investors without obtaining a listing on the stock exchange. In Texas, private placements are regulated by a variety of state and federal laws. Private placements must be registered with the Texas State Securities Board and the Securities and Exchange Commission. Investors must meet certain criteria in order to be eligible to participate in private placements. Such criteria typically include having the experience or knowledge to make an informed investment decision, as well as having a net worth of over $1 million or having income ranging from $200,000 to $500,000 in each of the prior two years. Additionally, private placements must meet disclosure requirements set forth in the Texas Securities Act. Companies must provide enough information to investors for them to make an informed decision before issuing securities. Private placements can be attractive to companies because they can raise funds quickly without having to adhere to the same strict requirements as a public offering.
