How does corporate law differ from state law?

Corporate law is a set of regulations that govern the creation, operations, and dissolution of corporations. It is a body of state and federal laws that establish the rights and obligations of corporations and their shareholders, directors, officers, and employees. Corporate law differs from state law in that it deals with businesses as separate legal entities. Whereas state law regulates and governs the activities of individuals and other entities, corporate law focuses on the corporation itself. Corporate law creates the structure and rules for how a corporation can be established, the types of rights that are granted to shareholders and the duties that are imposed on officers and directors. Corporate law also deals with the regulation of the relationship between the corporation and the outside world. It dictates how the corporation can interact with consumers, competitors, government, suppliers and other business partners. This includes such matters as antitrust regulations and labor laws. Finally, corporate law governs how a corporation winds up its affairs after it dissolves. The winding up process can include dissolving operations, distributing remaining assets, settling debts and other obligations, and making sure that the interests of shareholders are adequately protected. This can sometimes be a lengthy process, so corporate law provides guidance on how it should be handled.
