How does corporate law differ from state law?

In Indiana, for example, corporate law is governed by the Indiana Business Corporation Law, which is set out in Title 23 of the Indiana Code. The purpose of the Indiana Business Corporation Law is to promote the development of businesses in the state. It establishes standards for forming corporations, outlines shareholder rights, provides rules for the governance of the corporation, and outlines the procedures for dissolving a corporation. Additionally, it governs the relationship between shareholders, officers, and directors. It also provides the legal framework for the enforcement of contracts and the resolution of disputes among the various parties of a corporation.
