What is the process for changing corporate directors?

In Nebraska, when a corporation needs to change its directors, the process is outlined in the Nebraska Business Corporation Act. Changing corporate directors requires a majority vote from shareholders. First, shareholders are asked to vote on the new directors. Once a majority of shareholders approve the new director, a change in the corporation’s board of directors is effected. A notice of the change must then be filed with the Nebraska Secretary of State. The notice must include the name and address of the former and new director, as well as the date of the change. The new director can then take their seat at the corporation’s next board meeting. The board of directors must then confirm the change by passing a unanimous resolution that both removes the former director and adds the new director. This resolution must be recorded in the corporation’s minutes and filed with the Nebraska Secretary of State. If the change is made in response to a shareholder vote, then a copy of the resolution must be sent to the shareholder who requested the change.
