Corporate filings refer to documents submitted to the Washington State Corporations Division, which is part of the Secretary of State’s Office. The Corporations Division oversees corporate transactions and filings. The Corporations Division requires that the following documents be submitted when starting or changing the status of a business: Articles of Incorporation, Corporate Amendments, By-Laws, Corporate Name Reservations, and Mergers. Also, the Corporations Division requires that all businesses file reports with them such as Annual Reports and Periodic Reports. These reports document business changes, financial information, and other pertinent facts. Washington businesses must also file necessary forms with the Corporations Division for stock and debt offerings. The necessary forms depend on the type of offering that is being made. Other corporate documents that may need to be filed include a Certificate of Appointment of Registered Agent, Consent of Directors, and Certificate of Limited Partnership. When a corporation wants to dissolve or wind up its operations in Washington, the Corporations Division must be notified. A Certificate of Dissolution must be filed with the Corporations Division in order to dissolve the corporation.
