What is a contract?
A contract is an agreement between two or more parties that creates legally binding obligations. In the state of Florida, a contract has four main components: an offer, acceptance, consideration, and sufficient legal capacity. An offer is an agreement for an exchange of goods or services. Acceptance is when the offer is agreed to and accepted by the other party. Consideration is both parties providing something of value, which can be money, goods, services, or a promise to do something. Lastly, legal capacity means that both parties are legally able to enter into a contract, for example, being a certain age or having the mental capacity to understand the agreement. In addition, both parties must intend to create a legally binding contract. This is called mutual assent. In Florida, all contracts must also comply with state and federal laws. If an agreement is breached, one or both parties may have legal remedies available, such as a lawsuit or an injunction. A contract should be clear and specific, as it is a legally binding document. Additionally, all contracts should be in writing and signed by both parties to ensure that the agreement is valid and enforceable. Written contracts also eliminate disputes and provide evidence of the agreement between the parties.
