What is a contract?
A contract is a legally binding agreement between two or more parties. It is an agreement in which each party promises to perform specific acts in exchange for something of value. In Mississippi, contract law is administered by the Mississippi Uniform Commercial Code (UCC). Contracts can be written or oral. However, for contracts involving the sale of goods or services above a certain monetary threshold, the UCC requires that the contract be written in order for the contract to be valid. Additionally, the UCC requires that certain contracts, such as those involving the sale of a motor vehicle, must be in writing in order to be valid. Contracts must include certain essential elements in order to be valid. The parties must have the legal capacity to enter into a contract, meaning they must be adults and of sound mind. The parties must also come to an agreement, exchange an offer and acceptance, determine the payment, specify the performance, and consider any legal implications of the agreement. In Mississippi, contracts must be enforceable in court. If a contract is not legally enforceable, it is considered invalid.
