What is an offer and acceptance?

An offer and acceptance is a key concept in Contract Law. In Florida, an offer is a promise or set of promises made by one person (known as the offeror), to another person (known as the offeree). The offeror is proposing to enter into a contract with the offeree and the offeree can accept, reject, or qualify the offeror’s offer. If the offeree chooses to accept the offer, an agreement is then created. Acceptance is the offeree’s agreement to the terms laid out in the offer. It must be communicated to the offeror in some way – either verbally or in writing. In addition, the acceptance must mirror the terms of the offer. If the offeree modifies the offer in any way, they are making a counteroffer. A common example of an offer and acceptance is when a buyer agrees to purchase a car from a seller. The seller makes an offer, detailing the type of car, price, and other conditions of purchase. When the buyer agrees to those terms, they are agreeing to an acceptance, and a contract is created. Contract Law in Florida contains multiple rules and regulations that must be considered when creating and entering into a contract. Important things to consider include the capacity of the parties, duress, mistake, and consideration. In order for a contract to be valid, it must meet all of the requirements of a legal agreement.
