What is a contract of sale?

A contract of sale is an agreement between two parties, buyer and seller, in which the buyer agrees to purchase certain goods from the seller in exchange for payment. In South Carolina, when a contract of sale is formed it must include certain key elements in order for it to become legally binding. These elements include an offer, acceptance, consideration, and mutual assent to the terms of the contract. An offer is an expression of willingness to enter into an agreement on specific terms. The offer is made by the seller and should include a list of the items for sale, the price of the items, and any conditions of sale. Acceptance is the buyer’s agreement to the terms of the offer. Acceptance must be made voluntarily, knowingly, and unequivocally in order for a contract of sale to be binding. Consideration is the value that is being exchanged between the buyer and seller and is usually viewed as payment in exchange for goods. Mutual assent is the agreement between both parties that the contract is valid and legally binding. Both parties must agree to the terms of the contract and be clear on the obligations each of them are agreeing to. Once all of the elements of a contract of sale are present, the agreement is legally binding. It is important to make sure that all parties understand the terms of the contract of sale and that the agreement is mutually agreed upon.
