What is a contract of guarantee?
A contract of guarantee is a legal agreement in which one party (the guarantor) promises to pay or perform a debt or obligation if the other party (the obligor) fails to do so. In Washington, a contract of guarantee is a written document that outlines the guarantor’s promise to pay or perform the debt or obligation of the obligor, as well as the terms and conditions of the agreement. A contract of guarantee can be used for a variety of reasons, such as when one party does not have enough collateral to secure a loan or when two parties need to ensure that a sale will go through. In Washington, a contract of guarantee must meet certain requirements in order to be legally binding. This includes the agreement being in writing, signed by all parties, and witnessed, along with the full names of all parties, details of the debt or obligation, and a clear description of the terms of the agreement. Additionally, the contract must contain an acknowledgement of the guarantee and a statement that the guarantor is a third-party beneficiary of the contract. The guarantor is legally obligated to fulfill their duty to pay or perform the debt or obligation detailed in the contract of guarantee if the obligor fails to do so.
