What is acceptance of a contract?

Acceptance of a contract is an agreement between two or more parties to abide by certain conditions and fulfill certain obligations. In Virginia, acceptance is a voluntary act of consent that is manifested by the party to whom the offer is made. This offer must be adopted and accepted in the same manner and according to the same terms that were offered by the offeror. Acceptance in Virginia requires a "meeting of the minds" to form a valid contract. This means that both parties must agree to the same terms of the contract and have the ability to understand what is being agreed upon. If there is any ambiguity or misunderstanding between the two parties, the contract is voidable, and the parties may not be legally bound. In Virginia, there are several methods of acceptance including oral, written, or through actions. The method of acceptance must match the method of offer in order for the contract to be legally binding. Furthermore, acceptance cannot be conditional, as that would render the contract voidable. Acceptance can be revoked or withdrawn in certain circumstances. In order to revoke acceptance, the cancelling party must act promptly and not be in breach of any contractual obligations they have already agreed to. Additionally, oral contracts can be rescinded, but written contracts are enforceable, regardless of technicalities in acceptance.
