What is the validity of an option contract?

An option contract in Delaware is a type of contract where one party gives another party the right, but not the obligation, to purchase or sell a certain asset, such as real estate, at a specified price at some point in the future. A valid option contract must meet certain legal requirements. In Delaware, all contracts must include an offer and an acceptance. If the terms in the offer are accepted, a contract is formed. In terms of an option contract, it must be in writing and include the specifics of the asset being bought and sold, the price being offered, and the length of time the option to purchase will be available. In addition to meeting general contract law requirements, an option contract must also include something of value known as “consideration” to make it legally enforceable. Consideration can be anything of value, like money, exchange of services, or an act of forbearance. If all of these legal requirements are met, the option contract is valid and binding. Both parties must abide by the terms agreed upon in the contract. If any of the terms in the option contract are breached, then the party who suffered damages as a result can take action to enforce the contract.
