What is a licensing agreement?

A licensing agreement is a contract between two parties that gives one party the right to use certain property owned by the other party. In entertainment law, this property may be intellectual property such as a song, a character, or artwork. The owner of the property, known as the licensor, grants the licensee the right to use their property in a specific way and for a certain period of time. For example, if a film production company wants to use a well-known song in a movie they’re creating, they must obtain a license that grants them the right to use the song. The licensing agreement will specify the terms of the license such as how much the licensee must pay for the rights to the song, how long the license lasts, and other restrictions on how the song may be used. In California, licensing agreements must adhere to the laws established by the state. In addition, the state’s regulations for entertainment law can be complicated and require the expertise of an attorney to help guide both parties through the process. Overall, a licensing agreement is an important tool for protecting intellectual property and ensuring that the terms of the agreement are understood and respected by both parties.
