What is a licensing agreement?

A licensing agreement is a type of contract used within entertainment law in New York. It is a legally binding agreement between two parties that allow the licensee (or recipient of the rights) to use certain intellectual property belonging to the licensor (or owner of the rights). This might include the exclusive right to produce, sell, or distribute merchandise with the licensor’s name or image. It can also grant the licensee permission to use a copyrighted work or trademark. The agreement usually outlines the terms of the transaction, such as what the licensee is allowed to do with the intellectual property, how payment is to be made, and for what period of time the agreement is valid. Both parties have to agree to the terms and sign the agreement before it becomes legally binding. Licensing agreements are used in a variety of industries from music to fashion, and they are important in protecting the rights of both the licensor and licensee. By having a licensing agreement in place, the licensor can be sure that the licensee uses their property correctly, and the licensee can use the property with the assurance that they are legally allowed to do so.
