What is a licensing agreement?
A licensing agreement is a legal contract between two or more parties in which one party grants the other party the right to use their property, such as a trademark, invention, or logo. The owner of the property is typically referred to as the licensor, while the party receiving the license is referred to as the licensee. For example, a company may enter a licensing agreement to use another company’s logo on their products. In West Virginia, licensing agreements are governed by federal and state Intellectual Property laws. These laws are designed to protect the rights of inventors, creators, and businesses whose intellectual property is being used. When a licensing agreement is made, the parties involved must sign a written contract that outlines the specific terms of the agreement, such as the duration of the licensing, the scope of use of the property, and the amount of the royalty fee. Entertainment law, which includes licensing agreements, is an important part of the law in West Virginia. When a business or individual is creating a music video, film, television show, or other entertainment project, they must ensure that all of the rights to use the material is properly licensed. Without a valid licensing agreement in place, the business or individual may be liable for copyright infringement. It is therefore important for businesses and individuals to work with a lawyer to ensure that their licensing agreements are legally binding.
