What are the legal requirements for a music publishing contract?
When two people enter into a Music Publishing Contract, they are agreeing to the legal terms of the agreement. In the state of California, the contract must be in writing and signed by both parties. This contract should include all important details such as the name of the publisher, the name of the songwriter, the name of the songs, the term of the contract, the payment rate, and any additional rights and obligations. The songwriter must be an adult (18 or over) in order to sign a contract. It is also important to keep a copy of the contract in case one of the parties needs to reference it in the future. When creating the music publishing contract, each party should make sure that they agree on the payment terms, and the amount of royalty payments. It is also recommended that any disputes should be resolved through arbitration rather than litigation. This will save both parties time and money. Finally, California also requires that the agreement must include provisions to protect the songwriter and the publishing rights in case the publisher fails to make the necessary payments. This typically includes “indemnity” and “recoupment” clauses. Indemnity is the insurance that covers any legal costs or damages that may arise due to the publisher’s failure to make payments on time. Recoupment means that if the publisher has made payments to the songwriter, the publisher can recoup those payments from future royalty payments in the event that the songwriter fails to fulfill their contractual obligations.
