A service agreement is a contract between two parties that outlines the details of a service the one party is providing to the other. In New York, service agreements must be in writing in order to be legally binding. This means that both parties must sign the agreement and retain a copy for their records. The service agreement must spell out the terms of the service, including what must be done, who is responsible for completing the tasks, the timeline for completion, the payment amount, payment schedule, and the consequences of breaching the agreement. All of these requirements must be agreed upon and formalized in the agreement. In New York, service agreements must also include a clause specifying the applicable law that governs the agreement, typically the law of the state where either party is located. This is important as certain legal remedies may not be available if the agreement is not in compliance with the state’s laws. If either party does not agree to the terms outlined in the agreement, they may be subject to legal action. Finally, a service agreement should include information on how to resolve any disputes that may arise. This could include arbitration, where both parties can settle disagreements without involving the court system. This can be beneficial as it is often a quicker and less expensive way to resolve disputes.
