What are the requirements for franchisors to comply with the law?
In Washington, franchisors are required to comply with the Franchise Investment Protection Act (FIPA). FIPA is the law which regulates the franchising of businesses in the state. FIPA requires that franchisors provide potential franchisees with a Disclosure Document which contains information about the franchise company, including financial statements. The franchisor is also required to provide franchisees with a “Franchise Agreement,” which outlines all of the terms and conditions of their relationship. The Franchise Agreement must include a clause that says that the franchisee may cancel the contract within a certain period of time without penalty. Additional requirements for franchisors include providing the individual franchisees with an accounting system, offering accounting records which show the results of the franchisees’ income and expenses, and providing access to the business’s staff to answer any questions or concerns the franchisee may have. Additionally, franchisors must provide potential franchisees with a list of all of the fees associated with the franchise. This includes any fees for training, franchise agreements, or other costs. FIPA also requires that franchisors disclose any obligations or restrictions the franchisee may have to the franchisor. These restrictions may include a non-compete clause or exclusive rights to certain products. If the franchisee wishes to transfer the franchise to someone else, the franchisor must provide the franchisee with a list of all other restrictions that may affect the franchisee’s ability to transfer the business. Finally, franchisors must also abide by the terms of the Federal Trade Commission’s Franchise Rule. This rule requires franchisors to provide potential franchisees with a written document that outlines all the terms of the franchisor-franchisee relationship. This document must be provided before any contract is signed.
