What are the restrictions on selling franchises?
In Texas, franchise law places certain restrictions on the sale of franchises. All franchisors must provide potential franchisees with a disclosure document that clearly outlines the terms and conditions of the franchise agreement, including fees, obligations, and potential risks. The document must be provided at least fourteen days prior to any sale or signing of a contract. Franchisors are also required to register their franchises with the Texas Secretary of State and to provide potential franchisees with a copy of the Franchise Disclosure Document at least fourteen days prior to signing any contracts. This document must include all of the terms and conditions of the franchise agreement, as well as any fees associated with the agreement. In addition, franchisors are prohibited from misrepresenting the franchise opportunity, and they are responsible for fully disclosing any material facts that could affect the franchisee’s decision to invest. This includes making sure that all financial information is accurately presented and that all material terms of the franchise agreement are clearly stated. Finally, franchisors are responsible for making sure that all contracts are fair and reasonable, and that they are not oppressive or unreasonably restrictive. They are also not permitted to make any misleading statements or promises about the franchise opportunity.
