What are the requirements for franchise disclosure documents?
In California, franchise disclosure documents are required to be provided to a potential franchisor or franchisee. These documents provide information about the franchise, such as the franchise fees, the financial condition of the franchisor, any pending litigation, and the franchisor’s experience in the franchise business. The franchise disclosure document must be written in plain language that is easy to understand. It must include information on the franchisor’s financial statements, business experience, the franchise fees, franchisee obligations, and the franchisor’s disputes and litigation. The document must also disclose any patents, trademarks, or other intellectual property rights held by the franchisor. The document must be provided to the potential franchisee at least 14 days before the franchisee signs any agreement or makes any payment. The document must be signed and dated by the franchisor and the franchisee. In addition, the franchisor must provide a copy of the document to the California Department of Business Oversight. Finally, the franchisor must provide a copy of the franchise disclosure document to the franchisee at any time requested by the franchisee. The franchisor must also provide updated information to the franchisee if there is any significant change in the information disclosed in the document.
