What is the difference between a public offering and a private placement?

The main difference between a public offering and a private placement is whom the investments are offered to. In a public offering, an investment is offered to the public, which can include institutions, professional investors, and individual investors. A public offering must follow strict regulations and disclosure requirements as set by the Securities and Exchange Commission (SEC). In contrast, a private placement is an investment offering made to only a select few investors, such as banks, wealthy individuals, or institutional investors.
