What is Trade Secret Law?
Trade Secret Law is a type of Intellectual Property Law that allows businesses to protect certain information or processes they use from being made public. This law exists to protect businesses from competitors from stealing their inventions or ideas. In Michigan, Trade Secret Law is regulated by the Michigan Uniform Trade Secrets Act (MUTSA). This law defines a trade secret as any information that derives independent economic value from not being generally known and is subject to reasonable efforts to keep it secret. This definition includes formulas, patterns, data, programs, and methods used to create a product or service. It is important for businesses to be aware of their rights under Trade Secret Law. It allows them to protect their ideas, processes, and innovations without having to go through the long and expensive process of obtaining a patent. It is, however, important that they take reasonable measures to keep the information secret. These steps might include limiting access to certain areas, making employees sign a non-disclosure agreement, and using passwords and encryption for digital documents. In the case of a violation of Trade Secret Law, businesses have legal recourse to protect their information. The court may grant the business injunctive relief, which can prevent or undo the use of the trade secret, as well as award damages for any economic losses caused by the violation.
