What is the scope of the 1982 United Nations Convention on Contracts for the International Sale of Goods?
The 1982 United Nations Convention on Contracts for the International Sale of Goods (hereafter referred to as the CISG) is a uniform international law governing the sale of goods between parties in different countries. The CISG applies to contracts where one of the parties is located in a country that is party to the convention. Colorado is one of over 100 countries that is party to the CISG. The scope of the CISG deals with both the formation of contracts which govern the sale of goods between parties and the actual sale itself. Under the CISG, the formation of a contract requires an offer, acceptance, and a “mutual consensus” that is created when the offer and acceptance match in essential elements. The CISG also deals with the actual sale of goods, covering issues such as breach of contract, breach of warranty, and remedies such as damages and specific performance. In addition, the CISG also provides guidance on the enforcement of the agreement once the contract has been formed, covering topics such as how damages are calculated, how a contract can be terminated, and how the parties can resolve disputes. Finally, the CISG also covers the transfer of title and risk of loss of goods and provides for the recognition and enforcement of foreign judgments. The CISG is an important international law that provides uniform rules for the sale of goods between parties in different countries. By providing a unified system of regulation, the CISG encourages international trade and provides certainty and predictability to the parties involved.
