What type of activities could constitute a conflict of interest for a nonprofit organization?
A conflict of interest for a non-profit organization can occur when directors or officers of the non-profit engage in activities that benefit them personally, instead of the organization. In California, nonprofit organizations are governed by the Nonprofit Public Benefit Corporation Law. Under this law, conflicts of interest can include situations such as an officer or director using nonprofit funds for their own personal gain, or a director using their position to benefit their own business interests. If an officer or director accepts a payment or other benefit that is not available to all members of the non-profit, this could also be considered a conflict of interest. Conflicts of interest can also arise if an officer or director is a member of a business that contracts with the nonprofit organization. Additionally, any sort of private financial deal between a director and the non-profit could be considered a violation of the law. Conflicts of interest also apply to any decision-making process. Directors or officers of a non-profit cannot have a personal interest in any particular vote or decision, and must always place the interests of the organization first. Lastly, any officers of the non-profit who solicit or accept donations on behalf of the organization must disclose any potential conflicts of interest.
