What is the Hart-Scott-Rodino Act?

The Hart-Scott-Rodino Act (HSR Act) is a federal law passed in 1976 that is designed to promote competition in Maine and across the United States. The HSR Act requires certain individuals and corporations who are looking to acquire stock or assets of other companies to disclose the information of their plans and give federal antitrust agencies the chance to review the proposed transaction. The purpose of the HSR Act is to make sure that large corporate mergers or acquisitions do not lead to a decrease in competition in the market, which could harm consumers and workers. The HSR Act requires filing a “premerger notification” with the Federal Trade Commission (FTC) and the Department of Justice (DOJ). The filing must include information about the identity of the merging companies, the financial structure of the transaction, and the markets and relevant products or services that are impacted. The FTC and DOJ then review the premerger notification to make sure that it complies with antitrust laws. If they find that the proposed transaction might lead to a decrease in competition, the FTC and DOJ can take legal action to block or modify the transaction. The HSR Act is an important tool in promoting competition in Maine and the United States. It helps ensure that corporations are not able to create monopolies or otherwise engage in anticompetitive behavior that will increase prices and reduce consumer choice. It is vital that Maine residents stay informed on the current antitrust laws and how they protect competition in the marketplace.
