What is a Non-Disclosure Agreement?
A Non-Disclosure Agreement (NDA) is a legally binding contract that is commonly used in Oklahoma’s Art Law. It is used to protect confidential information shared between two or more parties, and keeps the shared information confidential. The agreement states that none of the parties is allowed to disclose the private information to a third party. The private information can include information such as secret designs, research findings, marketing strategies, artistic works, or financial information. The agreement should also include a timeline, outlining the period during which the parties must keep the information private. This period could be for a specific amount of time or it could be indefinite. The agreement should also determine how the parties will handle the confidential information in case of a dispute and how they can safely return the information to the other parties. In some cases, there may be a “non-compete” clause included in the agreement. This clause prevents the parties from using the confidential information for their own benefit or from competing with each other for a period of time. Non-Disclosure Agreements are an important aspect of any commercial transaction. They help protect the rights of both parties, and ensure that the shared confidential information remains private and secure.
