What is required to form a partnership?
Forming a partnership in Washington requires several steps in order for the business to be legally established. First, two or more individuals must come to an agreement to jointly own and manage a business. Once the agreement is made, each partner must contribute to the partnership in some way, usually financially. Once the partners have decided on their contributions to the partnership, they must file the Certificate of Partnership with the Washington Secretary of State’s Office. This filing should include detailed information about the partnership, including the names of the partners, the name of the business, and the contributions of each partner. Next, the partners must draft a formal partnership agreement. This document should include information on the structure and management of the business, the duties and responsibilities of the partners, how profits will be divided among the partners, and how disputes between the partners will be resolved. Once the agreement is finalized, the partners must sign it and have it notarized. Finally, the partnership must obtain necessary licenses and permits in order to operate legally. Depending on the nature of the business, the partners may need to apply for a business license, register with the Internal Revenue Service, and obtain other permits or licenses from the state or local government. In Washington, these steps must be taken in order for a partnership to be legally formed. It is important for potential partners to familiarize themselves with each of the legal requirements in order to ensure that the partnership is established correctly.
