What is the Uniform Commercial Code (UCC)?

The Uniform Commercial Code (UCC) is a set of laws governing business transactions, including sales of goods, leases, contracts, and other transactions. It is a uniform law, meaning it applies in every state except Louisiana. The UCC is a detailed set of rules governing commercial transactions, allowing businesses to transact with certainty regarding their rights and responsibilities. In Texas, the UCC is found in Title 2, Business and Commerce Code. The UCC outlines rules governing, among other things, the sale of goods; when a contract is valid or void; warranties; defects in goods; remedies for breach of contract; the modification and revocation of contracts; the amount of damages for breach of contract; and the nature of performance of contractual obligations. It also establishes rules for the parties involved in a transaction, such as a buyer or seller, and outlines different forms of security interests. The UCC helps to ensure fairness among all parties in a transaction and provides a set of simplified rules that make it easier for businesses to come to agreements. By providing uniform laws, it makes it easier for businesses to transact with each other, even if they are located in different states. This helps facilitate interstate trade, providing the economy with a much-needed boost.
