Business law and corporate law are two different types of legal structures that regulate businesses and organizations of all sizes. This type of law sets forth the rights and responsibilities of business owners, employees, customers, and other stakeholders in the business. Corporate law, on the other hand, is a body of legal principles related to running a corporation or other business organization. This type of law sets forth the rights and responsibilities of shareholders, directors, and officers of a corporation. Business law in North Carolina covers a wide range of topics, such as contracts, formation of businesses, debt collection, employment laws, unfair competition, franchises, and bankruptcy. It may also involve the filing of certain documents with the Secretary of State and other governmental agencies. Corporate law, however, covers topics such as corporate formation, the issuance of shares of stock, mergers and acquisitions, dissolution procedures, and the interactions between officers, directors, shareholders, and the corporate entity. In summary, business law covers all aspects of the business, while corporate law is more specialized in the regulations related to the organization and governance of the corporate entity.
