What is the process for dissolution of a corporation?
In Kansas, dissolution of a corporation is the process of legally ending the corporation’s existence. For the process to be valid, the corporation must follow the Kansas Business Corporation Act, the laws of the state of Kansas, and the corporation’s own articles of incorporation. The first step of dissolution is to obtain approval from the appropriate authorities. This could include the shareholders, or if required by the corporation’s articles of incorporation, the board of directors. The dissolution must then be documented in a written resolution and should include the name of the corporation, the date, and the reason for dissolution. The resolution must then be filed with the Kansas Secretary of State. After the resolution is approved, the dissolution is effective. The corporation must then take steps to wind up the corporation’s affairs, including settling or discharging liabilities, collecting assets, and distributing assets to the shareholders. The corporate assets should then be distributed to the shareholders proportionately according to their ownership interest. Finally, the corporation must file its final tax return and foreign qualification documents with the Kansas Secretary of State, as well as any other necessary paperwork, to officially dissolve the corporation. After all paperwork is filed and the corporation’s affairs are settled, the corporation is legally dissolved and the shareholders may proceed to receive the corporation’s assets as stated in the resolution of dissolution.
