How is corporate finance regulated?
Corporate finance is regulated in Delaware through a number of laws, regulations and policies that are designed to protect the interests of businesses, investors, and creditors. The main law governing corporate finance in Delaware is the Delaware General Corporation Law (DGCL). This law outlines the rights and responsibilities of corporations and their shareholders. Additionally, the DGCL imposes certain disclosure and filing requirements for Delaware corporations. The Delaware Secretary of State also has regulations that cover corporate finance activities. These regulations include rules on capital structure, corporate governance, and fiduciary duties. The Delaware state legislature also has oversight of corporate finance activities and can pass laws and regulations that further regulate corporate finance. The Securities and Exchange Commission also enforces corporate finance laws. Specifically, the SEC regulates the sale of stocks, bonds, and other securities to protect consumers from fraud and other abusive practices. Finally, the Delaware Banking Commissioner is responsible for the state’s banking laws. These laws regulate financial institutions, such as banks, and require them to abide by certain practices and procedures to ensure the safety and security of customers’ financial assets.
